Terms of Service

1. What Is Impact Outbox

Impact Outbox is a campaign automation platform that helps CFS fundraiser operators manage school mattress sale fundraisers. The platform automates email scheduling, generates checklists and social media content, and integrates with third-party services on the operator's behalf.

Impact Outbox is operated by Danny Hinton on behalf of Custom Fundraising Solutions (CFS), headquartered in Fresno, CA.

2. Eligibility — CFS Operators Only

Impact Outbox is available exclusively to active CFS fundraiser operators and their authorized staff. By creating an account, you represent that:

• You are an active CFS operator or authorized representative.
• You are at least 18 years of age.
• You have the authority to enter into these Terms on behalf of yourself or your organization.
• Your use of the platform will be in connection with legitimate CFS fundraiser campaigns.

Accounts found to be created by non-CFS operators may be suspended or terminated without notice.

3. Operator Responsibilities

As an Impact Outbox user, you are responsible for:

• Email content: Reviewing and approving all campaign emails before they are sent. While Impact Outbox generates email sequences using templates and AI, you are the sender of record and responsible for the content.
• Accurate campaign data: Ensuring that school names, sponsor contacts, sale dates, and other campaign details you enter are accurate and up to date.
• Sponsor consent: Confirming that school sponsors have agreed to receive campaign-related communications.
• Account security: Keeping your login credentials confidential and notifying us immediately of any unauthorized access.
• Compliance: Ensuring your use of the platform complies with applicable laws, including CAN-SPAM, GDPR where applicable, and school district communications policies.

4. Prohibited Uses

• Using Impact Outbox to send unsolicited bulk email (spam) or for campaigns unrelated to CFS fundraisers.
• Creating campaigns for schools or organizations that are not part of an active CFS fundraiser contract.
• Sharing your account credentials with unauthorized third parties.
• Attempting to access other operators' campaigns or account data.
• Reverse-engineering, scraping, or otherwise attempting to extract the platform's source code, templates, or proprietary content.
• Using the platform in a way that violates any applicable federal, state, or local law.
• Uploading malicious files or content designed to disrupt platform operations.

5. Pricing and Billing

Impact Outbox is priced per campaign event. Current published rates:

• Standard rate: $120 per event.
• New operator trial: Your first 2 events are free, regardless of when you sign up.
• Detroit Conference founding rate: Operators who join at the Detroit Conference launch (July 2026) are locked at $99/event for the life of their account — a permanent discount from the $120 standard rate.
• Billing: Each event is invoiced after the sale date. You are billed only for campaigns that reach active status (not drafts).
• Refunds: Events cancelled before the sale date are not invoiced. Events cancelled after the sale date are billed at the full per-event rate.

We reserve the right to change the standard rate with at least 30 days' advance notice. Locked founding-operator rates are not subject to increases.

6. Intellectual Property

Impact Outbox, its software, email templates, AI-generated content, and all associated intellectual property are owned by Custom Fundraising Solutions or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the platform for your CFS fundraiser operations.

Campaign data you enter (school names, contacts, event details) remains your data. You grant us a limited license to process that data solely to operate the platform and deliver services to you.

7. Third-Party Services

Impact Outbox uses third-party services including SendGrid, Anthropic, OpenAI, and Meta. Your use of these services through Impact Outbox is subject to their respective terms of service. We are not responsible for any issues arising from third-party service outages, policy changes, or data handling.

8. Termination

Either party may terminate your account at any time:

• By you: Contact us at danny.hinton@cfsbeds.com to close your account. Your data will be deleted within 30 days per our Privacy Policy.
• By us: We may suspend or terminate your account for violation of these Terms, non-payment, or if you are no longer an active CFS operator. We will provide notice where reasonably practicable.

Upon termination, your access to the platform ceases immediately. Campaign and email history may be exported on request before account closure.

9. Disclaimer of Warranties

Impact Outbox is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be error-free, uninterrupted, or free of security vulnerabilities. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Custom Fundraising Solutions and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Impact Outbox, including but not limited to:

• Emails not delivered or delivered incorrectly due to third-party service issues.
• Data loss resulting from platform outages or errors.
• Revenue loss from campaign disruptions.
• Unauthorized access to your account resulting from your failure to secure credentials.

Our total liability to you for any claim arising from use of the platform shall not exceed the amount you paid us in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fresno County, California.

12. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of Impact Outbox after changes constitutes acceptance of the updated Terms.
